- الملكية وحقوق الملكية الفكرية: تمتلك SMS Connect جميع المواد. يقر مستخدمو SMS Connect ويوافقون على أن المواد تشكل وتحتوي على ملكية فكرية قيمة وأسرار تجارية ومعلومات سرية لـ SMS Connect وأن المواد قد تم تطويرها باستخدام جهود وموارد كبيرة. لا يحصل المستخدمون على أي حقوق أو ألقاب أو لا مصالح في أو في أي من المواد الواردة في SMS Connect. جميع الحقوق الأخرى في المواد ، بما في ذلك حقوق النشر ، تنتمي إلى SMS Connect فقط وبشكل منفرد.
- تمتلك SMS Connect أيًا من وجميع الاستبيانات والأسئلة والبيانات والمنهجيات والخوارزميات والعمليات والمواد والقوالب والمفاهيم والخبرة والمعرفة والبيانات القابلة للتداول وغيرها من الأدوات أو المواد أو مشتقات الملكية الخاصة بهذا التطبيق المضمنة في ، والمستخدمة ، تم تطويره أو اكتشافه أو اكتسابه فيما يتعلق باستخدام SMS Connect.
- القانون الحاكم: يجب تفسير هذه الاتفاقية وحقوق وواجبات كل طرف من الأطراف وفقًا لقوانين المملكة العربية السعودية.
- إفشاء المعلومات: لا يجوز لمستخدمي SMS Connect الإفصاح عن أي مرجع لطرف ثالث أو تقديمه ، ولا يجوز لهم استخدام مرجع بأي شكل من الأشكال ضار أو منافس لأعمال أو منتجات أو خدمات SMS Connect.
- الوصول إلى البرامج والمحتوى: يحظر هذا الترخيص على وجه التحديد ما يلي: استخدام SMS Connect لأغراض مثل الاستخراج اليدوي لمعلومات SMS Connect للاستضافة في قواعد بيانات و / أو أنظمة برمجية أخرى لاستخدامها من قبل غير المرخص لهم باستخدام SMS Connect ؛ الاستخراج الآلي للبيانات أو الإبلاغ عن الإنتاج من خلال استخدام واجهات برمجة التطبيقات أو لغات البرمجة أو أنظمة البرمجة الأخرى غير المضمنة في البرنامج ؛ تستخدم على كمبيوتر الخادم كخادم OLAP أو خادم الوصول إلى البيانات في تكوين الويب أو خادم العميل ؛ استخدامها "لتجميع" أو مشاركة معرّفات مستخدمي إدارة المحتوى بشكل متزامن في بيئة الويب أو بيئة خادم العميل ؛ أو استخدام برنامج تشغيل ODBC مع تطبيق اتصال بخلاف SMS.
- لا يجوز للمستخدمين: (أ) إلغاء التحويل البرمجي أو عكس الهندسة أو التفكيك أو تقليل اتصال SMS Connect إلى نموذج يمكن قراءته بواسطة الإنسان ؛ (ب) الترخيص من الباطن أو توزيع اتصال SMS بطريقة أخرى ؛ (ج) الكشف أو السماح باستخدام SMS Connect لأي طرف ثالث أو من قبله ؛ (د) تعديل أو تكييف أو ترجمة SMS Connect ؛ (هـ) نسخ البرنامج أو أي جزء منه أو (و) إزالة أي ملكية أو وسيلة إيضاح متعلقة بحقوق النشر من أي برنامج و / أو دليل.
استخدام البيانات والبرامج:
يمكن استخدام SMS connect من قبل الموظفين المصرح لهم في SMS Connect فقط للمعالجة الداخلية لمعلومات SMS Connect. لا يجوز لـ SMS Connect مشاركة ترخيص SMS Connect أو Content Access مع أطراف خارجية.
سرية:
-SMS Connect ويقر المستخدمون بأنه لا يجوز الكشف عن المعلومات السرية للطرف الآخر خلال مدة هذه الاتفاقية.
- المعلومات السرية "تعني أي معلومات سرية أو معلومات سرية تجارية يكشف عنها أحد الطرفين للطرف الآخر ، سواء شفهيًا أو كتابيًا ، بما في ذلك على سبيل المثال لا الحصر شروط وأحكام هذه الاتفاقية ، بالإضافة إلى قوائم العملاء وخطط التسويق والمنتجات ، التكنولوجيا والأنظمة والعمليات التجارية وأي معلومات مالية أو مبيعات أو تسويقية أو تجارية أخرى ليست:
أ. تم الكشف عنها في مواد عامة أو في المجال العام ؛
ب. تم الحصول عليها بشكل قانوني من طرف ثالث دون أي التزام بالسرية ؛
ج. معروفة قانونًا للطرف المتلقي قبل الإفصاح عنها من قبل الطرف الآخر ؛ أو
د. تم تطويره بشكل مستقل من قبل الطرف المتلقي.
23.3. سيتعامل كل طرف مع جميع المعلومات السرية الخاصة بالطرف الآخر بنفس درجة العناية التي يتفق عليها مع المعلومات السرية الخاصة به ، ولكن ليس بأقل من درجة معقولة من الرعاية بأي حال من الأحوال ؛ وإذا طلب الطرف الآخر ذلك ، فسوف يتلف أو يعيد إلى الطرف الآخر جميع المعلومات السرية عند إنهاء هذه الاتفاقية أو انتهاء صلاحيتها.
- Ownership and Intellectual Property Rights: SMS Connect owns all Materials. Users of SMS Connect acknowledge and agree that the Materials constitute and contain valuable intellectual property, trade secrets and confidential information of SMS Connect and that the Materials were developed using substantial effort and resources. Users obtain no rights, no titles or no interests in or to any of the Materials contained in SMS Connect. All other rights in and to the Materials, including copyrights, belong to SMS Connect only and solely.
- SMS Connect owns any and all of this application's questionnaires, questions, data, methodologies, algorithms, processes, materials, templates, concepts, expertise, know-how, syndicatable data and other tools or proprietary materials or derivatives thereof included in, used, developed, discovered or gained in connection with using SMS Connect.
- Governing Law: This Agreement and the parties’ respective rights and duties shall be interpreted and governed in accordance with the laws of The Kingdom of Saudi Arabia.
- Disclosure of Information: SMS Connect Users may not disclose or provide any Reference to a third party, and may not make use of a Reference in any way detrimental to or competitive with businesses, products or services of SMS Connect.
- Software and Content Access: The following are specifically prohibited by this licence: use of SMS Connect for purposes such as manual extraction of SMS Connect Information for hosting in other databases and/or software systems for use by those not licensed to use SMS Connect; automated data extraction or report production through the use of APIs, programming languages, or other programming systems not included with the Software; use on a Server computer as an OLAP or data access server in a web or client-server configuration; use to "pool" or concurrently share Content Management user-ids in a web or client-server environment; or use of the ODBC driver with non-SMS connect application.
- Users may not: (a) decompile, reverse engineer, disassemble or otherwise reduce SMS Connect to human readable form; (b) sublicense or otherwise distribute SMS connect; (c) otherwise disclose or permit the use of the SMS Connect to or by any third party; (d) modify, adapt or translate SMS Connect; (e) copy the Software or any part of it or (f) remove any proprietary or copyright legend from any Software and/or manual.
Use of data and Software:
SMS connect may be used by SMS Connect permitted employess only for internal processing of SMS Connect Information. A licence for SMS Connect or Content Access may not be shared by SMS Connect to outside third parties.
Confidentiality:
-SMS Connect and Users acknowledge that Confidential Information may not be disclosed to the other party during the term of this Agreement.
-Confidential Information” means any confidential or trade secret information disclosed by one party to the other party, either orally or in writing, including but not limited to the Terms and Conditions of this Agreement, as well as customer lists, marketing and product plans, technology, systems, business processes, and any other financial, sales, marketing or business information that are not:
a. disclosed in public materials or otherwise in the public domain;
b. lawfully obtained from a third party without any obligation of confidentiality;
c. lawfully known to the receiving party prior to disclosure by the other party; or
d. independently developed by the receiving party.
23.3. Each party will treat all Confidential Information of the other party with the same degree of care as it accords to its own Confidential Information, but in no event less than a reasonable degree of care; and, if requested by the other party, will destroy or return to the other party all Confidential Information upon termination or expiration of this Agreement.
